Deal marks one of the largest transactions in the district cooling industry in the MENA region
Dubai, UAE, 12th April 2022: Dubai Investments, the leading diversified investment company listed on the Dubai Financial Market (DFM) has entered a deal to divest a 50% stake in Emirates District Cooling Company (EMICOOL) to Actis - a leading global investor in sustainable infrastructure, at a corporate valuation of AED 3.7bn (US$1bn) and equity valuation of AED 2.4 bn (US$ 653mn). With an extensive network in multiple geographies, the JV is aimed at supporting Emicool in its vision towards becoming one of the leading providers of sustainable and efficient district cooling services in the wider MENA region.
The transaction ceremony was attended by Khalid Bin Kalban, Vice Chairman and CEO, Dubai Investments, Abdulaziz Bin Yagub Al Serkal, Chairman, Emicool and Adrian Mucalov, Actis Partner. Also present at the transaction ceremony were other senior representatives from Dubai Investments, Actis, Emicool and Al Mal Capital.
The deal is counted as one of largest transactions in the district cooling industry in the MENA region. The transaction underpins the growing demand for district cooling in the region, crystalising significant value for Dubai Investments and testifies the Company’s strategy for value creation through competent partnerships.
Al Mal Capital PSC, a subsidiary of Dubai Investments and a diversified, multi-line investment institution acted as the sole financial advisor to Dubai Investments on this transaction.
Actis is a leading global long-term investor in sustainable infrastructure and has raised US$24bn in capital since its inception. قيمة ايميكول قدرت بمليار دولار في صفقة تعد واحدة من أكبر الصفقات في صناعة تبريد المناطق بالشرق الأوسط وشمال إفريقيا
دبي، الإمارات العربية المتحدة، 12 أبريل 2022: عقدت دبي للاستثمار، الشركة الاستثمارية الرائدة المدرجة في سوق دبي المالي، صفقة للتخارج بنسبة 50٪ من شركة الإمارات ديستريكت كولينج، "إيميكول" مع شركة أكتيس (actis) الاستثمارية العالمية الرائدة في البنية التحتية المستدامة، وقدرت قيمة شركة "ايميكول" ب3,7 مليار درهم (مليار دولار) وقيمة حقوق الملكية 2,4 مليار درهم (653 مليون دولار).
ويهدف المشروع المشترك إلى دعم استراتيجية إيميكول لأن تصبح واحدة من أبرز المزودين لخدمات تبريد المناطق المستدامة في منطقة الشرق الأوسط وشمال إفريقيا.
وحضر حفل إبرام الصفقة كل من خالد بن كلبان، نائب رئيس مجلس الإدارة وكبير المسؤولين التنفيذيين في دبي للاستثمار، وعبدالعزيز بن يعقوب السركال، رئيس مجلس إدارة إيميكول، وأدريان موكالوف، الشريك الممثل لأكتيس، بحضور ممثلين كبار آخرين من دبي للاستثمار وأكتيس وإيميكول والمال كابيتال.
وتعد الصفقة واحدة من أكبر الصفقات في صناعة تبريد المناطق بمنطقة الشرق الأوسط وشمال إفريقيا. وتدعم الطلب المتزايد على هذه الصناعة في المنطقة، مما يعزز من القيمة السوقية لشركة دبي للاستثمار ويؤكد استراتيجيتها الهادفة لخلق شراكات متخصصة ذات عائد استثماري كبير.
وقامت شركة المال كابيتال، الصندوق المالي والاستثماري التابع لدبي للاستثمار، بدور المستشار المالي الوحيد في الصفقة.
ويُقدر رأس مال شركة أكتيس، المستثمر العالمي الرائد في البنية التحتية المستدامة، بحوالي 24 مليار دولار. وتستثمر الشركة في البنية التحتية المستدامة عبر أصول تشغيلية مستقرة ضمن قطاعات متعددة، مما يؤدي إلى زيادة القيمة التشغيلية للشركة وبالتالي تقديم عائد نقدي قوي للمستثمرين، وتأثير إيجابي قابل للقياس عبر ممارسات اجتماعية وبيئية مسئولة.
وقال خالد بن كلبان، نائب رئيس مجلس الإدارة وكبير المسؤولين التنفيذيين في دبي للاستثمار: "تهدف الشراكة مع أكتيس إلى تلبية الطلب المتزايد على قطاع تبريد المناطق من خلال الدمج السلس لإمكانيات كلا الطرفين. نحن سعداء جداً بعقد صفقة البيع هذه كجزء من خطط الشركة القوية نحو تنفيذ نهج حكيم لإدارة الأصول، مما يسهل إعادة التدوير الفعال لرأس المال من أجل الاستثمار المستقبلي. خلال هذه السنوات، ركزت دبي للاستثمار على إعادة تقييم تكلفة عملياتها، والاستثمار في تطوير المصانع، وتعزيز المعرفة التكنولوجية وإنشاء أصول استراتيجية أضافت قيمة كبيرة لقطاع تبريد المناطق في دولة الإمارات، ونحن متفائلون بأن هذا القطاع سينمو أكثر من خلال الشراكة مع أكتيس" .
